Legally Binding Agreement – Please Read Carefully

These Terms & Conditions ("Terms", "Agreement") govern your access to and use of the Placeably website, platform, and related services ("Service"). The Service is operated by Placeably Ltd ("we", "us", "our").

​

By accessing, browsing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our Service.

1. DEFINITIONS

​

  • "Platform" – The Placeably website, marketplace, tools, and systems.

  • "Landlord" – A property owner or manager using our Service.

  • "Operator" – A person or company offering short-term let management services.

  • "Match" – A successful introduction between a Landlord and an Operator made through Placeably.

  • "Service Agreement" – The separate contract between you and Placeably detailing specific fees and services (e.g., Landlord Service Agreement, Operator Service Agreement).

2. OUR ROLE & SERVICE DESCRIPTION

​

Placeably operates an introductory platform and provides related services. We are:

  • A matchmaking platform connecting vetted Operators with Landlords.

  • A facilitator for secure payments via third-party escrow services (e.g., Stripe Connect).

  • A provider of template agreements and compliance monitoring tools (for applicable service tiers).

​

Placeably is NOT:

  • A party to any agreement between a Landlord and an Operator.

  • A property manager, letting agent, legal advisor, or insurer.

  • A guarantor of any party's performance, income, or compliance.

​

3. USER ACCOUNTS & ELIGIBILITY

​

You must provide accurate information and update it as necessary. You are responsible for all activity under your account.

​

  • For Operators: You confirm you hold required insurance, are legally permitted to conduct short-term rentals, and will provide truthful documentation.

  • For Landlords: You confirm you have the authority to let the property and that it complies with mortgage, insurance, and local regulations.

​

We reserve the right to suspend or terminate any account that fails verification or breaches these Terms.

4. INTELLECTUAL PROPERTY

​

All content, features, and functionality on the Platform (including text, graphics, logos, and software) are our exclusive property or licensed to us and are protected by copyright and other intellectual property laws.

​

5. FEES & PAYMENT

​

5.1. General Obligation: You agree to pay all applicable fees for the services you select, as detailed in your specific Service Agreement with Placeably and on our Pricing page.


5.2. Third-Party Payment Processor: We use Stripe, Inc. as our payment processor. Your payment details are handled directly by Stripe under their terms and privacy policy.


5.3. Non-Payment: Failure to pay may result in suspension of Service and late fees. Fees are non-refundable unless otherwise required by law.

6. AGREEMENTS BETWEEN USERS

​

Placeably provides template agreements to facilitate deals. You are solely responsible for:

  • Negotiating the final terms of any agreement with another user.

  • Verifying the other party's information and legal compliance.

  • Obtaining independent legal advice if needed.
    Placeably is not a party to these user agreements and has no liability arising from them.

7. ESCROW & DISPUTE RESOLUTION BETWEEN USERS

​

7.1. Escrow Service: We may facilitate the holding of funds via a third-party escrow agent. Release of funds is subject to the conditions agreed between users.


7.2. Dispute Resolution: In the event of a dispute over escrow funds, Placeably will act in good faith as a mediator only. We will:
* Review evidence submitted by both parties.
* Attempt to facilitate a mutual resolution.


7.3. Final Determination: Placeably does not act as a judge or arbitrator. If a mutual resolution cannot be reached, escrowed funds will only be released upon: (a) a written agreement signed by both users, or (b) a final, non-appealable order from a court or certified arbitrator.

8. NON-CIRCUMVENTION

​

By using our Service, you agree that any successful introduction may be subject to a separate Triple-Party Non-Circumvention Agreement between you, the user you are introduced to, and Placeably. You must not attempt to circumvent Placeably to avoid due fees.

9. PRIVACY

​

Your privacy is important to us. Our collection and use of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

​

10. LIMITATION OF LIABILITY

​

TO THE FULLEST EXTENT PERMITTED BY LAW, PLACEABLY LTD, ITS DIRECTORS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE.


Our total aggregate liability to you for any claim shall be limited to the total fees you have paid to us in the 12 months preceding the event giving rise to the claim.

11. TERMINATION

​

We may suspend or terminate your access to the Service immediately for breach of these Terms. You may stop using our Service at any time.

​

12. CHANGES TO TERMS

​

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms on the Platform and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance.

​

13. GOVERNING LAW & JURISDICTION

​

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
